Welcome to PLAZA. The terms “we”, “us” and “our” refer to Shadow Records Inc. (operating as PLAZA). Shadow Records Inc. operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the “Services”). PLAZA is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

We have made every effort to provide an accurate representation of our products and services in our online stores. However, colours and product appearance may differ depending on your device settings and display configuration.
We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or exactly match how they appear online.
All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, region or jurisdiction on a case-by-case basis.
SECTION 3 — ORDERS
When you place an order, you are making an offer to purchase. PLAZA reserves the right to accept or decline your order at our discretion. Your order is not accepted until payment has been received and processed.
Please review your order carefully before submitting, as we may be unable to accommodate cancellation or modification requests once an order has been placed.
If we cancel or modify an order, we will attempt to notify you using the email address, billing address, or phone number provided at checkout.
Releases through PLAZA are limited in quantity and may sell out without notice. We reserve the right to limit purchase quantities per customer and to cancel orders we suspect are placed using automated systems, intended for resale, fraudulent, or otherwise violate our limited release policies.
We reserve the right to refuse service, cancel orders, or limit quantities at our sole discretion, including orders suspected of fraud, unauthorized resale, or abuse of our policies.
Your purchases are subject solely to our Refund Policy.
You represent and warrant that purchases are for personal or household use only and not for commercial resale or export.
SECTION 4 — PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. Prices displayed at checkout are the prices in effect at the time the order is placed.
Unless otherwise stated, prices do not include taxes, shipping, customs, duties, or import charges.
You agree to provide current, complete and accurate purchase and payment information for all orders placed through the Services. You represent and warrant that:
(i) the payment information provided is accurate and authorized,
(ii) charges incurred by you will be honoured by your payment provider, and
(iii) you will pay all charges incurred, including applicable taxes and shipping fees.
SECTION 5 — SHIPPING AND DELIVERY
Delivery times are estimates only and are not guaranteed.
PLAZA is not responsible for delays caused by shipping carriers, customs processing, weather, or circumstances outside our control. Once an order has been transferred to the shipping carrier, title and risk of loss passes to you.
SECTION 6 — INTELLECTUAL PROPERTY
All content available through the Services, including but not limited to trademarks, branding, text, images, graphics, audio, video, product designs, website design, and creative assets, is owned by PLAZA, Shadow Records Inc., its affiliates, licensors, or partners are protected under applicable intellectual property laws.
These Terms permit you to use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, publish, download, transmit, or commercially exploit any content from the Services without prior written permission.
PLAZA names, logos, product names, artwork, slogans, recordings, music, lyrics, and related creative materials are protected intellectual property.
All music, lyrics, recordings, compositions, artwork, and creative content available through or referenced on PLAZA are the property of PLAZA, Shadow Records Inc., or their licensors. Purchase of merchandise does not transfer ownership or rights to any underlying intellectual property.
Unauthorized reproduction, distribution, resale, or commercial use is strictly prohibited.
SECTION 7 — OPTIONAL TOOLS
We may provide access to third-party tools or services that we neither monitor nor control. Such tools are provided “as is” and “as available” without warranties or guarantees of any kind.
Your use of optional third-party tools is entirely at your own risk and subject to the third party’s terms and policies.
SECTION 8 — THIRD-PARTY LINKS
The Services may contain links to third-party websites or services. PLAZA is not responsible for the content, policies, or practices of any third-party websites or services accessed through the Services. Any use of third-party websites is at your own risk.
SECTION 9 — RELATIONSHIP WITH SHOPIFY
PLAZA is powered by Shopify, which enables us to provide the Services to you. However, all purchases are made directly with PLAZA. Shopify is not responsible for any aspect of transactions between you and PLAZA, including products, fulfillment, refunds, or disputes.
SECTION 10 — PRIVACY POLICY
All personal information collected through the Services is governed by our Privacy Policy, and certain information may also be governed by Shopify’s Privacy Policy. By using the Services, you acknowledge that your information may be processed by Shopify and related service providers as necessary to operate the Services.

If you submit reviews, feedback, suggestions, ideas, or other content to us (“Feedback”), you grant PLAZA a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute such Feedback for any purpose.

(iii) does not contain unlawful, abusive, or harmful material.
We reserve the right to remove or refuse Feedback at our discretion.

Occasionally, there may be information on the Services containing typographical errors, inaccuracies, or omissions relating to pricing, product descriptions, availability, promotions, or shipping information. We reserve the right to correct any errors and to cancel or modify orders if information is inaccurate at any time without prior notice.

To the fullest extent permitted by law, PLAZA, Shadow Records Inc., Shopify, and their affiliates, officers, employees, contractors, licensors, and partners shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of the Services or products purchased through the Services.
SECTION 17 — INDEMNIFICATION
You agree to indemnify and hold harmless PLAZA, Shadow Records Inc., Shopify, and their affiliates, employees, contractors, licensors, and partners from any claims, damages, liabilities, or expenses arising from your violation of these Terms or misuse of the Services.
SECTION 18 — SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
SECTION 19 — WAIVER; ENTIRE AGREEMENT
These Terms of Service constitute the full agreement between you and PLAZA regarding use of the Services and supersede any prior agreements or communications. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
SECTION 20 — ASSIGNMENT
You may not assign or transfer your rights under these Terms without prior written consent. PLAZA may assign or transfer these Terms without restriction.
SECTION 21 — GOVERNING LAW
These Terms of Service are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
SECTION 22 — CHANGES TO TERMS OF SERVICE
We reserve the right to update or modify these Terms at any time by posting changes to this page. Continued use of the Services following any updates constitutes acceptance of those changes.
